Studio90 Terms and Conditions for Web Design Services

1. Agreement Overview

These terms and conditions (the “Agreement”) govern the provision of web design services (the “Services”) by the service provider, located at 39 Garlands Road, GL156BB, to the client (the “Client”) who signs up for the Services.

2. Services

2.1. The service provider will provide web design services as outlined in the agreed proposal or agreement. Any additional services requested by the Client may incur additional fees, subject to mutual agreement.

2.2. The Client agrees to provide all necessary materials, including logos, images, and content, required for the completion of the project in a timely manner.

2.3. The service provider will make commercially reasonable efforts to complete the Services within the agreed-upon timeframe. However, delays may occur due to factors beyond our control, such as client-requested changes or technical issues.

3. Payment Terms

3.1. The Client agrees to pay the service provider the full agreed-upon fee for the Services upfront unless otherwise agreed in writing.

3.2. Payment is non-refundable once services are set up.

3.3. Monthly hosting fees begin 30 days from signup.

3.4. Late payments may be subject to interest charges of £14 per month.

3.5. Services may be cancelled if payments are not made in a timely manner.

4. Intellectual Property

4.1. The Client retains ownership of all content provided for the project.

4.2. The service provider retains ownership of all design elements created as part of the Services, including but not limited to graphics, templates, and code, unless otherwise agreed upon in writing.

4.3. Upon full payment of all fees, the service provider grants the Client a non-exclusive, perpetual license to use the completed website.

5. Revisions and Change Requests

5.1. The Client may request reasonable revisions to the design during the development process. Excessive revisions or major changes outside the scope of the original agreement may incur additional fees.

5.2. The service provider reserves the right to reject any requested changes that are not feasible or are inconsistent with the agreed-upon specifications.

6. Confidentiality

6.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.

6.2. Confidentiality obligations shall survive the termination of this Agreement.

7. Termination

7.1. Either party may terminate this Agreement with written notice if the other party breaches any material term of the Agreement and fails to cure such breach within 30 days of receiving written notice of the breach.

7.2. The service provider reserves the right to suspend or terminate Services immediately if the Client fails to make payment as agreed.

8. Design Work

8.1. Design work will commence upon receipt of the brief and all required assets from the Client.

8.2. We aim to provide the initial draft within 10 working days of receiving the brief and assets, but this timeframe is not guaranteed.

9. Limitation of Liability

9.1. The service provider shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the Services, even if advised of the possibility of such damages.

9.2. The service provider’s total liability under this Agreement shall not exceed the total fees paid by the Client for the Services.

10. Downtime

10.1. The service provider shall not be held responsible or liable for any downtime caused by factors outside of our control, including but not limited to server issues, internet outages, or force majeure events.

11. Amendment of Terms

11.1. The service provider reserves the right to amend these terms and conditions at any time without prior notice. Any such amendments shall be effective immediately upon posting on the service provider’s website.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any dispute arising out of or relating to this Agreement shall be exclusively resolved in the courts of the United Kingdom.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written.

By signing up, the parties agree to be bound by the terms and conditions of this Agreement.
